PARTNERSHIP AGREEMENT made as of
November 1, 2011 (this "Agreement")
by and among each of the persons executing this
Agreement (singly referred to herein as
"Partner" and collectively referred
to as "Partners") as set forth in the
Partnership Subscription Agreement and Signature
Page (the "Subscription Agreement")
attached hereto and incorporated herein by this
reference.
The Partners hereby form a general partnership, that is a Delaware special form of general partnership known as a limited liability partnership
(the "Partnership") on the terms and
conditions set forth in this Agreement.
